Governance Token

A governance token gives its holder the right to vote on decisions about how a crypto protocol or decentralized application should evolve. In traditional companies, shareholders vote on major decisions at annual meetings. Governance tokens do something similar for blockchain projects: they distribute decision-making power across the community rather than concentrating it in a founding team or board of directors. Decisions put to a vote might include changing transaction fees, adding new features, adjusting how rewards are distributed, or deciding whether to spend from a shared treasury.

Governance tokens represent one of the core ideas behind decentralized autonomous organizations (DAOs) — the vision that a project should eventually be owned and directed by its community of users rather than a central authority. If you hold governance tokens, you can propose changes and vote on proposals submitted by others, with each token typically representing one vote (or sometimes voting power is weighted in more complex ways).

The reality of governance token systems is nuanced. Because tokens can be bought and sold on the open market, wealthy individuals or funds can accumulate large voting power. Voter turnout is often very low because most token holders do not actively participate. Despite these challenges, governance tokens represent a meaningful experiment in community-directed organization, and some protocols have successfully used them to make consequential decisions.

Example: Imagine you are a shareholder in a cooperative grocery store. As a member, you get to vote on whether to expand the store, change suppliers, or adjust membership fees. The more shares you hold, the more votes you have. Governance tokens work the same way: they turn token holders into voting members who have a real say in where the project goes.
